Sir:

     Your Committee on Conference on the disagreeing vote of the
House of Representatives to the amendments proposed by the Senate
in H.B. No. 1028, H.D. 1, S.D. 1, entitled:

    "A BILL FOR AN ACT RELATING TO ALOHA TOWER DEVELOPMENT
    CORPORATION,"

having met, and after full and free discussion, has agreed to
recommend and does recommend to the respective Houses the final
passage of this bill in an amended form.

     The purpose of this bill is to:

     (1)  Authorize the Aloha Tower Development Corporation
          (ATDC) to:

          (A)  Appoint exempt officers, agents, and employees;

          (B)  Prescribe their duties and qualifications; and

          (C)  Fix their salaries;

          without regard to chapters 76 and 77, Hawaii Revised
          Statutes;

          and

     (2)  Direct ATDC and the Department of Transportation (DOT)
          to:

          (A)  Work together to resolve immediately the parking
               shortage for the Aloha Tower Marketplace
               (Marketplace); and

          (B)  Develop plans to expedite the construction of
               additional parking for the Marketplace.

     Your Committee on Conference has amended this bill by:

     (1)  Deleting provisions that direct ATDC and DOT to:

          (A)  Work together to resolve the parking shortage and
               develop plans for additional parking for the
               Marketplace; and

          (B)  Submit a report to the Legislature prior to the
               2000 Regular Session on the status of resolving
               the shortage of parking for the Marketplace;

          and

     (2)  Making technical, nonsubstantive amendments for clarity
          and style.

     Your Committee on Conference is in accord with the intent
and purpose of H.B. No. 1028, H.D. 1, S.D. 1, as amended herein,
and recommends that it pass Final Reading in the form attached
hereto as H.B. No. 1028, H.D. 1, S.D. 1, C.D. 1.
